Any business activity related to virtual currencies in Poland is generally subject to the law against money laundering and terrorist financing (Article 2, section 1, point 12 of the Law of March 1, 2018).
The above activity is a regulated activity within the meaning of the provisions of the Act of 6 March 2018, the Entrepreneurship Law, which means that this activity can be carried out after obtaining an entry in the appropriate register.

REGISTERING LIMITED LIABILITY COMPANY (SP. ZOO)
The establishment of a Limited Liability Company (SP. ZOO) can be carried out remotely or in person.
This stage includes obtaining and completing a Power of Attorney (PoA) to allow us to open a company on your behalf in Poland.
Translate and notarize non-criminal records if necessary
Procedure for issuing PESEL (Polish Tax Identification Number). After that, the company formation process is carried out through a notary and the company data is entered into the commercial register.

APPLY FOR CRYPTO BUSINESS LICENSE
Provide a brief description of the business to identify where and how the business is conducted.
Apply for a license. Optionally, hire and register an AML Officer if the business is more complex to minimize risk and increase the likelihood of success when opening a bank account.
Complete and submit the application to the licensing authority, ensuring that all Regulatory Authority requirements and notices are met.
This stage ensures complete submission to regulatory authorities.

The minimum registered share capital for a cryptocurrency company in Lithuania is 5,000 PNL (~$1,165), there are no special requirements for cryptocurrency companies and capital contributions can be made in cash, no deposit required.

PERSONNEL REQUIREMENTS
1. Compliance Officer: According to local regulations, this position is not required to be present in the company structure to apply for an e-money license in Poland. However, a compliance officer is recommended for future bank account openings, to increase opportunities and help the company adapt to higher levels of regulation.
2. Director: Foreigners can be appointed and act as directors in Poland. However, if the company is owned by a foreign shareholder, the company will have to pay a monthly insurance tax (~300 EUR).
* Recommend establishing a company with 2 or more shareholders to avoid insurance costs for foreign employees
OFFICE REQUIREMENTS

To obtain an e-money license in Poland, a physical office is not required. A legal address is sufficient to start operations. However, certain payment gateways or digital banks may require a virtual office or a physical office with a lease. Legalaes can assist with this requirement upon request.
